1. Definitions

1.1 In these Terms:

• Service means AutoCMS’s subscription-based CMS, hosting, deployment, and related support services.
• Customer or you refers to the individual or legal entity registering for the Service.
• Subscription Term means the billing cycle selected at signup (monthly, annually, etc.).
• Subscription Fees means the recurring charges due and payable for use of the Service.
• Order Form means any online or offline form confirming subscription details including plan, term, fees.

1.2 Headings serve convenience only and don’t affect interpretation. Singular includes plural and vice versa.

2. Provision of Service

2.1 AutoCMS makes the Service available once payment is received.
2.2 You guarantee that all information provided is accurate and agree to promptly update contact or billing details.
2.3 AutoCMS may change, enhance, or withdraw features as needed provided any changes do not materially degrade core functionality.

3. License Grant & Restrictions

3.1 You receive a non‑exclusive, non‑transferable license to use the Service for internal purposes only.
3.2 You must not: resell or redistribute the Service; reverse-engineer or duplicate it; use it to compete with AutoCMS; or interfere with its operation or network.
3.3 You agree not to upload unlawful, infringing, or malicious content or attempt unauthorized access.

4. Fees, Billing & Auto‑Renewal

4.1 You agree to pay all Subscription Fees at rates in effect when charges are due. Subscription Fees are exclusive of applicable taxes, which you are responsible for paying.
4.2 Fees are billed in advance for the selected term. Payment is non‑cancellable and non‑refundable.
4.3 Plans auto‑renew at the end of each term. By signing up, you authorize AutoCMS to automatically bill your stored payment method for renewals.
4.4 AutoCMS reserves the right to update fees or pricing plans with at least 30 days’ notice prior to your next renewal; changes take effect at renewal only.

5. Cancellation

5.1 You may cancel your subscription at any time. Cancellation prevents future billing but does not entitle you to any refund.
5.2 To avoid renewal charges, cancellation must occur at least 7 days before the end of your current term. Access continues until term-end.

6. No Refund Policy

6.1 All payments are final. No refunds—partial or full—will be issued under any circumstances:

• Cancellation mid‑term
• Account inactivity or unused features
• Downgrades or upgrades
• Accidental or duplicate renewals
  6.2 Make sure you select and understand your plan and billing frequency before subscribing.

7. Suspension & Termination

7.1 If you violate these Terms or fail to pay, AutoCMS may temporarily suspend or permanently terminate the Service without notice; no refunds will be given.
7.2 Upon termination for cause, AutoCMS has no obligation to retain or return your data.

8. Warranties & Liability

8.1 The Service is provided “as is.” AutoCMS does not guarantee uninterrupted or error‑free operation.
8.2 AutoCMS disclaims all implied warranties, including merchantability and fitness for a particular purpose.
8.3 Liability is limited to the amount paid in the 12 months prior to the event giving rise to a claim. In no case will AutoCMS be liable for indirect, incidental, or consequential damages.

9. Privacy & Data Processing

9.1 Your data is handled in accordance with our Privacy Policy.
9.2 You are responsible for compliance with applicable privacy and data protection laws.

10. Notices

10.1 Notices must be sent to support@autocms.io or the address on file.
10.2 AutoCMS may notify updates via email or posting on the Service. Continued use constitutes acceptance of changes.

11. Changes to Terms

11.1 We may update these Terms by publishing a revised version and emailing you notice.
11.2 Continued use after updates means you accept those changes.

12. Governing Law & Miscellaneous

12.1 These Terms are governed by laws applicable in your jurisdiction or as specified in the Order Form.
12.2 If any clause is found invalid, the rest remain enforceable.
12.3 No third‑party beneficiary rights arise under these Terms.
